Terms of Service

These Terms of Service ("Terms") are a legal agreement between Otoverse Enterprise, doing business as FlowSynk ("FlowSynk," "we," "our," "us"), and the person or entity using the Services ("Customer," "you," "your").

By creating an account, accessing, or using the Services, you agree to these Terms.

1. Definitions

  • "Services" means FlowSynk's software platform, websites, APIs, integrations, and related services.
  • "Customer Data" means data, content, prompts, media, and account information submitted by or for Customer through the Services.
  • "Order" means an online checkout, plan selection, quote, order form, or similar transaction for paid Services.
  • "Documentation" means technical and user documentation provided by FlowSynk.
  • "Third-Party Platforms" means external services integrated with the Services (for example, social media platforms).

2. Eligibility and Authority

You represent and warrant that:

  1. You are at least 18 years old.
  2. If acting for an entity, you have authority to bind that entity.
  3. Your use of the Services complies with applicable law and these Terms.

3. Accounts and Security

You are responsible for:

  1. Maintaining account credential confidentiality.
  2. All activity under your account and workspace.
  3. Promptly notifying us of unauthorized access or security incidents.

FlowSynk may require multi-factor authentication and other security controls as part of account access.

4. Service Scope and Changes

FlowSynk grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during your subscription term, subject to these Terms and your plan limits.

We may modify or discontinue features from time to time. For material adverse changes to paid core functionality, we will provide reasonable advance notice where practicable.

5. Customer Responsibilities

You are solely responsible for:

  1. Configuration choices, automations, and publication decisions.
  2. Compliance with Third-Party Platform terms and policies.
  3. All outbound messages, responses, comments, and content distributed through your connected accounts.
  4. Obtaining all rights, permissions, and legal bases required for Customer Data and campaigns.

You must review and validate AI-generated outputs before publication.

6. Prohibited Conduct

You will not, and will not permit others to:

  1. Use the Services for unlawful, deceptive, fraudulent, abusive, or defamatory activity.
  2. Send spam, harassing, or unauthorized bulk communications.
  3. Violate platform anti-spam, automation, or impersonation rules.
  4. Infringe privacy, publicity, intellectual property, or other rights.
  5. Upload malware or attempt to disrupt, probe, or bypass security.
  6. Reverse engineer, copy, resell, or create unauthorized derivative works of the Services.

FlowSynk may suspend or terminate access for violations, risk, or legal compliance requirements.

7. AI Features and Outputs

The Services may provide AI-assisted drafting, automation, summarization, and content generation. You acknowledge and agree:

  1. AI outputs may be inaccurate, incomplete, biased, or inappropriate.
  2. FlowSynk does not guarantee legal, factual, editorial, or regulatory accuracy of AI outputs.
  3. You remain solely responsible for review, approval, and use of all outputs.
  4. You must not use the Services as a substitute for legal, medical, tax, or other licensed professional advice.

8. Fees, Billing, and Merchant of Record

8.1 Merchant of Record

For paid subscriptions purchased through checkout, billing and tax collection may be managed by Polar (the merchant of record). Where Polar is merchant of record:

  1. Polar is the seller of record for that transaction.
  2. Polar issues invoices/receipts and processes payment methods.
  3. Polar may collect and remit applicable transaction taxes.

Additional terms from Polar may apply to checkout and payment processing.

8.2 Subscription Terms

Paid plans are billed on the interval selected at checkout (monthly, annual, or otherwise stated). Unless otherwise specified, subscriptions renew automatically at the end of each billing period until canceled.

8.3 Cancellation

You may cancel renewal at any time through your billing portal or account billing settings. Cancellation takes effect at the end of the then-current paid term unless otherwise required by law.

8.4 Price Changes

We may change plan prices, packaging, or features. We will provide advance notice for changes affecting existing subscriptions.

8.5 Refunds

Refund eligibility is described in the Refund and Cancellation Policy and may be subject to Polar transaction rules and applicable law.

9. Intellectual Property

FlowSynk and its licensors retain all rights, title, and interest in the Services, Documentation, branding, and related intellectual property, excluding Customer Data.

Subject to these Terms, Customer retains rights in Customer Data. Customer grants FlowSynk a worldwide, non-exclusive license to host, process, transmit, and display Customer Data as necessary to provide, secure, maintain, and improve the Services.

10. Feedback

If you provide feedback, suggestions, or ideas, you grant FlowSynk a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation.

11. Confidentiality

Each party agrees to protect the other's non-public confidential information using reasonable care and not less than a commercially reasonable standard. These obligations do not apply to information that is public, independently developed, rightfully received without duty, or required by law to be disclosed.

12. Third-Party Services

The Services may interoperate with third-party products and APIs. FlowSynk is not responsible for third-party services, outages, policy changes, or data handling outside our control.

13. Suspension and Termination

FlowSynk may suspend access immediately if necessary to:

  1. Prevent harm, abuse, or security risk.
  2. Comply with law, regulation, court order, or platform requirements.
  3. Address material breach of these Terms.

Either party may terminate for material breach not cured within 30 days after written notice (or shorter where immediate suspension is justified by risk).

Upon termination, your access ends, and data handling follows applicable law, contract terms, and our retention schedule.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSYNK DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FLOWSYNK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FULLY SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR USE CASE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. FLOWSYNK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA.
  2. FLOWSYNK'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY CUSTOMER TO FLOWSYNK FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless FlowSynk and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  1. Your Customer Data.
  2. Your misuse of the Services.
  3. Your violation of these Terms, law, or third-party rights.
  4. Your use of Third-Party Platforms through the Services.

17. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Ghana, excluding conflict-of-law principles.

Venue for any dispute will be the competent courts of Accra, Ghana, unless arbitration is required by an applicable Order or addendum.

No mandatory arbitration applies unless expressly agreed in a signed enterprise order.

18. Export and Sanctions

You represent that you are not subject to sanctions or export restrictions that prohibit use of the Services. You will comply with applicable export control and sanctions laws.

19. Changes to These Terms

We may update these Terms. Material changes will be posted with an updated effective date and, where required, additional notice. Continued use after effectiveness constitutes acceptance of updated Terms.
